By-Laws of the Brookhaven Regional Arts Guild
The name of the organization shall be Brookhaven Regional Arts Guild (BRAG). Arts shall be defined as Visual Arts (drawings, mixed media, paintings, photography, printmaking, and three-dimensional).
The purpose of BRAG shall be to further the pursuit and support of the arts in the region.
1. To be eligible for membership in BRAG, one must be interested in the arts and theminimum age of 18 years. There will be three levels of membership: general, student and non-exhibiting.
- Dues for general members and non-exhibiting members will be twenty-five dollars ($25) per calendar year.
- Dues for full-time students with valid student I.D.s will be ten dollars ($10) per calendar year.
2. The annual membership dues will be twenty-five dollars ($25), payable at the first meeting of the fiscal year, which will be in January of each year. The fee will not be pro-rated for those joining later in the year.
3. Failure to pay dues, following notification, may result in termination of membership.
4. Members will be active in attendance and will volunteer for one activity per year.
5. Each member will pay a ten percent (10%) commission to the Guild for any sponsored sale. There shall be a twenty percent (20%) commission placed on all items sold via BRAG by non-members.
6. Non-exhibiting memberships will be available for those who do not choose to exhibit works. Dues will be twenty-five dollars ($25) per calendar year.
Article IV…The Fiscal Year
The Fiscal year of BRAG shall be defined as the first day of each January through the last day of the following December.
The Officers of BRAG shall be as follows: President, Vice-President, Secretary, Treasurer, Activities Chairman and Publicity Chairman. Officers will serve a term of two (2) years.
A nominating committee shall be appointed at the August meeting and report at the September meeting concerning nominees for officers for the ensuing term. The election of officers will be held at the October meeting and approved by a majority vote of members present. New officers will be installed at the January meeting.
Duties of Officers
The President shall preside over all meetings, appoint standing and special committees and oversee all BRAG activities.
The Vice-President shall, in the absence of the president, perform duties of the President. The Vice-President shall be in charge of securing programs for each meeting and shall serve as an ex-officio member of the By-Laws Committee. At the end of the term of office, the Vice-President will automatically become President.
The Secretary shall keep accurate records of the membership roll and proceedings at meetings. He/she shall also take care of any necessary correspondence.
The Treasurer shall be responsible for receipt of all monies. He/she shall pay all authorized bills pertaining to the Guild’s business and should be responsible for collecting dues and the Guild’s commission from members for all promoted sales. Any and all monies received for the Guild shall be deposited in a timely manner.
The Activities Chairman shall be in charge of activities sponsored and promoted by the Guild.
The Publicity Chairman shall be responsible for maintaining the Facebook page, website securing advertising and promoting the arts in the region.
Officer vacancies shall be filled by a majority vote of the members present at the next general meeting following a vacancy.
The By-Laws committee shall be composed of three members. The function of this committee is to study, review, revise and update any proposed amendments to the constitution and by-laws. This committee must approve any recommendations for proposed amendments. The vice-president shall serve as an ex-officio member of the committee.
The Membership committee shall promote the recruitment of new members for the Guild. It shall be their duty to inform potential members of the expectations: to be an ACTIVE participant through art and/or as a volunteer at Guild activities.
The historian will record the history of the Guild through scrapbook, files and other means, so that a complete account of the actions of this Guild through the years will be preserved.
The Reception Chairman shall choose members to assist in planning and preparing for a reception at each Guild art show and event that requires such planning. The Reception Chairman shall oversee each event but relies on the chosen for that specific event to be responsible for setting up, planning food and decorations. Committees will vary with each event.
At present BRAG meetings shall be held the third Thursday of each stated month at 5:30 P.M.
Those members present shall constitute a quorum.
Reasonable expenses for Guild purposes may be reimbursed. However, anticipated expenses above the amount of one hundred dollars ($100.00) per member and three hundred dollars ($300.00) per committee must be pre-approved by an officer of the Guild.
Article IX… Amendments
These By-Laws may be altered, amended or repealed and new By-Laws may be adopted by a two-thirds (2/3) majority of members present at any regular meeting following presentation of proposed changes at the prior monthly meeting.
